Rivia Terms and Conditions

These Terms and Conditions ("Terms“) govern your use of the Rivia website, RiviaOS platform, and services, including Rivia for Clinics and Rivia Express (collectively, the "Services“).

• 1. Acceptance of Terms

  By accessing or using the Services, you agree to be bound by these Terms. If you are a healthcare provider using Rivia for Clinics, you represent and warrant that you are duly licensed and authorized to practice medicine in your jurisdiction. If you are a patient using Rivia Express, you acknowledge that telemedicine consultations may not be suitable for all medical conditions and may have limitations compared to in-person consultations.

• 2. Use of Services

  You may only use the Services for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • In any way that violates any applicable law or regulation, including healthcare privacy regulations.
  • For any unauthorized or illegal purpose, such as infringing on the intellectual property rights of others or engaging in fraudulent activities
  • To harm, threaten, or abuse others, including healthcare providers and patients
  • To interfere with or disrupt the Services.
  • To provide false or misleading information about yourself or your qualifications. To impersonate any other person or entity.

• 3. Content

  The Services contain content owned or licensed by Rivia and its licensors, including healthcare information and educational materials. You agree not to copy, modify, distribute, transmit, display, perform, sell, or create derivative works of any such content without the prior written consent of Rivia.

• 4. Disclaimers

  THE SERVICES ARE PROVIDED 'AS IS' AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,

  NON-INFRINGEMENT, OR ACCURACY OF MEDICAL INFORMATION. RIVIA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR VIRUS-FREE.

• 5. Limitation of Liability

  RIVIA SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY

  DAMAGES, EVEN IF RIVIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

• 6. Indemnification

  You agree to indemnify, defend, and hold harmless Rivia, its officers, directors, employees, agents, and licensors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or your violation of these Terms.

• 7. Termination

  Rivia may terminate your access to the Services at any time, with or without cause, and with or without notice.

• 8. Governing Law and Dispute Resolution

  These Terms shall be governed by and construed in accordance with the laws of the State of Delaware in the United States of America, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms shall be resolved by [arbitration inin accordance with the rules of the American Arbitration Association ('AAA')]. You agree that, in the event of any dispute arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.

  No waiver of any provision of these Terms by Rivia shall be deemed a further or continuing waiver of such provision or any other provision.

  Rivia may amend these Terms at any time by posting the amended Terms on the Services. Your continued use of the Services after the posting of the amended Terms constitutes your acceptance of the amended Terms.
