RIVIA INDIVIDUAL MEMBERSHIP AGREEMENT

This Agreement is entered into between Rivia Technologies Ltd, a subsidiary of Rivia Technologies Inc., incorporated under the laws of Ghana ("Rivia", "we", "us"), and the individual member identified in the enrollment documentation ("Member", "you", "your").

1. DEFINITIONS AND INTERPRETATION

1.1 "Access Account" means your digital healthcare access account enabling access to healthcare services within Rivia Clinics using your available service balance.

1.2 "Member" means you, the individual who has enrolled to receive an Access Account.

1.3 "Rivia Clinics" means the network of healthcare facilities that utilize Rivia's technology platform and care protocols.

1.4 "Rivia Platform" means the technology platform operated by Rivia Technologies Ltd to facilitate access to healthcare services.

1.5 "Service Balance" means the available amount of healthcare services you can access through your Access Account.

2. NATURE OF SERVICES AND DISCLAIMER

2.1 Rivia operates as a technology platform that facilitates access to healthcare services through Rivia Clinics. Rivia is not a healthcare provider and does not provide medical services.

2.2 All healthcare services and medical treatment are the sole responsibility of the individual healthcare facilities and providers at Rivia Clinics.

2.3 Your Access Account is a digital healthcare access instrument, not a health insurance policy.

3. YOUR ACCESS ACCOUNT

3.1 Your Access Account provides you with access to healthcare services using your available Service Balance.

3.2 You can access any medically necessary services available at Rivia Clinics up to your available Service Balance.

3.3 You can track your available Service Balance through the Rivia Platform and will receive notifications when your balance is running low.

4. SERVICES AVAILABLE

4.1 Through your Access Account, you can access:

  • Virtual and in-person doctor consultations
  • Laboratory tests, diagnostics, and medications
  • Hospital admissions and surgical procedures
  • Services from Rivia's virtual care team

4.2 Current Access Accounts provide unrestricted access to services based on your available balance.

5. PAYMENT AND FEES

5.1 If your membership is employer-sponsored, your employer is responsible for payment as outlined in their Business Membership Agreement.

5.2 For individual memberships, payment terms are specified during enrollment and may be updated with thirty (30) days' notice.

5.3 Failure to maintain timely payment may result in suspension of services.

6. YOUR RESPONSIBILITIES

6.1 You agree to:

  • Provide accurate personal and health information
  • Use services in accordance with medical guidance
  • Protect your account credentials
  • Initiate care through Rivia's platform except in emergency situations

6.2 You are responsible for any misuse of your Access Account.

7. DATA PROTECTION AND PRIVACY

7.1 Your health information is confidential and protected in compliance with Ghana's Data Protection Act, 2012 (Act 843).

7.2 Rivia may use de-identified data for service improvement and analytics.

8. SERVICE AVAILABILITY

8.1 Rivia will use reasonable efforts to ensure continuity of access to healthcare services through Rivia Clinics.

8.2 Service availability may be affected by circumstances beyond our reasonable control, including facility maintenance or provider availability.

9. LIMITATIONS OF LIABILITY

9.1 Rivia's liability is limited to the fees paid for your membership for the relevant period.

9.2 Rivia shall not be liable for:

  • Any medical malpractice or negligence by healthcare providers
  • Interruption of services due to force majeure events
  • Failure of healthcare providers to deliver services

10. MEMBERSHIP TERM AND TERMINATION

10.1 Your membership continues unless terminated by either party with thirty (30) days' written notice.

10.2 Upon termination, no refunds will be provided for unused Service Balance.

10.3 Rivia may suspend or terminate membership for violation of this Agreement.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 This Agreement is governed by the laws of Ghana.

11.2 Disputes shall first be resolved through good faith negotiations between us.

11.3 If negotiations fail, disputes shall be resolved through binding arbitration at the Ghana Arbitration Centre.

12. AGREEMENT UPDATES

12.1 This Agreement may be updated periodically, with changes communicated to you via email or through the Platform.

12.2 Continued use of your Access Account after updates constitutes acceptance of the modified terms.
